1. Scope of the sales contract
Any order placed with SYLink Technologie SAS implies full acceptance of these terms of sale. The contract entered into between SYLink Technologie and the buyer constitutes a best-efforts obligation and never an obligation of result.
The company reserves the right to modify the technical characteristics of its products without notice. The contract is concluded upon receipt of the countersigned purchase order or upon acceptance of delivery. Any verbal clause must be confirmed in writing to be enforceable. Any claim relating to delivery must reach SYLink Technologie within ten days.
2. Supplies
Supplies include only the equipment specified in the quote or the invoice.
3. Prices, VAT and payment
Prices are quoted excluding tax. They may be revised in the event of cost variation within the limits set by applicable regulations.
Payments are due on receipt of the invoice, without discount, regardless of any dispute. Any late payment automatically triggers interest at the Banque de France discount rate plus two points. Agreed payment deadlines must be strictly respected.
4. Delivery times
Delivery times are indicative and depend on supply availability. A delivery delay cannot justify cancellation of an order or claims for damages. No late penalty may be applied, even after formal notice.
5. Warranty
The warranty covers new non-consumable equipment for twelve months from delivery. It automatically lapses if the buyer modifies the equipment or authorizes third-party intervention without prior written agreement from SYLink Technologie.
The warranty is strictly limited to free repair or replacement of defective parts returned to our facilities. Normal wear, negligence and improper use are excluded. Shipping costs are borne by the buyer.
6. Retention of title
Pursuant to French Law no. 80-135 of 12 May 1980, transfer of ownership of the goods sold is suspended until full payment of the price. However, risk of deterioration, loss or theft transfers to the buyer upon delivery. The buyer is responsible for taking out the necessary insurance.
7. Disputes
The Clermont-Ferrand Commercial Court shall have sole jurisdiction over any dispute relating to the interpretation or performance of the contract, regardless of the agreed sales conditions or payment terms.

8. Exports
These terms apply to international sales, unless otherwise provided by the applicable Incoterms.
